An ESOP valuation can be technically competent and still measure the wrong thing. The option granted to an employee, the ordinary share underlying it and the employee's taxable gain are different subjects. ESOP valuation preparation should settle which subject and purpose the report must address before anyone debates volatility or a model output.
An employee share option is a contractual right to acquire shares on specified terms. The exercise price, vesting conditions and expiry affect that right. Because ESOP is used differently across markets, a Singapore finance brief should identify the actual instrument and attach the governing documents.
The purpose of this guide is to prepare a reviewable brief. It does not determine an award's value or its accounting, tax or legal treatment. The checklist helps the finance team establish the evidence a valuer and the relevant advisers will need, including the questions that remain unresolved.
The project scoping questions provide a starting structure for the brief. Write the purpose, intended users and relevant measurement date into it. A report for financial reporting may need a different analysis from one prepared to support a transaction or an employee tax calculation. Identify who will rely on the report, including the company's auditor where relevant, and the form of documentation they expect.
The IFRS Foundation's IFRS 2 overview, reviewed in 2026, describes financial reporting for share-based payment transactions. Its scope includes transactions settled through different arrangements. The finance team should therefore confirm the instrument's classification and applicable requirements before choosing a model or copying a previous calculation.
Singapore's tax questions need separate attention. IRAS guidance on employee share options and share ownership, reviewed in 2026, explains that the tax treatment depends on the scheme and relevant events. An accounting expense and an employee's taxable gain should not be treated as interchangeable figures.
Use an issue log for matters that are unresolved. If the grant date is uncertain, identify the approval or acceptance evidence needed to establish it. If an instrument can be settled in cash, flag the relevant clause. A visible question is more useful than a confident assumption that later requires the entire analysis to be revised.
Provide the governing plan, individual grant documents and all amendments. Board or shareholder approvals may establish part of the chronology, while employee acceptance records may establish another. The objective is to give the reviewer a coherent sequence rather than a folder containing several unexplained versions.
Create a grant register that connects each award to the relevant plan version. Useful fields include the number of instruments, exercise price, grant identifier, vesting schedule, contractual term and modifications. Use a controlled employee identifier where names are unnecessary for the valuation work, and restrict access to personal information.
A financing price is evidence about the instrument sold. It is not automatically the value of an ordinary share underlying an employee option. Provide the capitalization records and the rights of each share class, then ask how the analysis accounts for the differences. A familiar transaction price can otherwise introduce an assumption that survives every later calculation without being examined.
Reconcile the grant register to the source documents before sending it out. If the spreadsheet says one quantity and the signed award says another, the valuer should not have to guess which is authoritative. Mark missing documents explicitly and allocate responsibility for obtaining them.
A model input needs an evidence trail. For the underlying equity value, provide the relevant financial information, capitalization, transaction evidence and assumptions used in the company's current planning. Forecasts should carry their preparation date and identify whether management approved them or whether they are a working scenario.
The contractual term and the expected exercise period answer different questions. One follows from the signed terms; the other may require a judgment about behavior for the measurement being performed. Where an estimate is necessary, the working papers should identify its basis and show which conclusion changes if the estimate changes.
Ask the valuer to explain the suitability and limitations of the proposed method. A simple option model may be appropriate for one arrangement, while another contains conditions that require different treatment. The preparation team's role is to disclose the conditions clearly, including performance requirements, changes to terms and settlement choices.
The accounting framework should be confirmed for the reporting entity. ACRA's guide to accounting standards, reviewed in 2026, distinguishes the standards available in Singapore. A reference to an international standard is useful context, but it does not establish which framework applies to a particular company.
Agree the deliverables before work starts. The brief should say whether the engagement includes a valuation report, input memorandum, sensitivity analysis or support for questions from another reviewer. It should also identify what remains with management, the auditor, tax adviser or legal counsel.
Maintain one assumptions log with the source and date of each input. Revised forecasts or award terms should arrive with a change note and an explicit question about their effect on the measurement. Version control matters because two individually reasonable analyses can diverge simply by using different documents.
Plan time for questions about the evidence. A report can be delayed by one unclear grant condition even when the model itself is straightforward. Resolve the documents most likely to change the method or measurement before spending effort polishing the final presentation.
The preparation pack is ready when another reviewer can establish what is being measured, as of which date and for whose decision. An unresolved grant condition belongs in the brief with an owner and a next step. It should never disappear into a convenient model assumption.
